On May 17, 2021, Ministry of Consumer Affairs, Food and Public Distribution notified the Consumer Protection (E-Commerce) (Amendment) Rules, 2021. The notification amends Rule 4(1) of the Consumer Protection (E-Commerce) (Amendment) Rules, 2020. The amended rule says that an e-commerce entity that is of the types listed below shall appoint a nodal officer for ensuring compliance with existing laws:

  • a company registered under the Companies Act, 1956 or Companies Act 2013
  • a foreign company as per the definition given under Companies Act 2013
  • an office, branch or agency outside India owned or controlled by a person resident in India

According to the old rule 4(1), it seemed that only a corporate entity of the types specified above could be an e-commerce entity and needed to appoint a nodal officer. However, the amendment has clarified that only corporate entities as specified above need to appoint a nodal officer, while other forms of e-commerce entities, such as, sole proprietorship and partnership firms are not obligated to appoint such nodal officer.
